Biographies

TOM MILLER’s 30 plus years in the energy business has provided him with extensive experience in all aspects of natural gas and electric generation infrastructure assets. Prior to forming Matias Energy in 2007 Tom was Vice President for International and Midstream Assets for CMS Energy Co. While with CMS Energy Tom had overall management and P&L responsibility for a 1.5 billion dollar portfolio of natural gas and electric generation assets located in the United States, South America and Australia.

Tom started his career in the energy business with American Natural Resources Company (ANR Pipeline) where he moved thru several different departments ultimately holding vice president positions in both the operations and financial planning areas. Tom has provided the primary commercial support for domestic and international disputes totaling in excess of 1 billion dollars and has presented testimony before the LCIA and ICSID. Tom has also made numerous appearances before federal and state regulatory bodies and he played a primary role in the unbundling of interstate natural gas transportation systems in the United States. He has held key responsibility for a number of major energy infrastructure investments both in the United States and internationally, including the greenfield development of a 700 mile gas transmission line and 720 MW generation plant in northern Argentina and Chile; the 2.2 billion dollar acquisition of a natural gas transmission system and associated LNG facilities in the United States; the acquisition of a 900 mile natural gas transmission line in Western Australia and the divestiture of a 200 million dollar methanol production facility located in Equatorial New Guinea.

Tom is a registered professional engineer with a B.S. in mechanical engineering from the University of Detroit.

SHARON A MCILNAY has over 20 years of experience as a legal advisor to corporate clients in all aspects of global and domestic energy project development, acquisitions and divestitures, joint venturing and operations. Prior to forming Matias Energy, Sharon served as Vice President and General Counsel of CMS Enterprises Company, a subsidiary of CMS Energy Co. While at CMS she had overall legal responsibility for approximately 7 billion dollars of independent power production, electric distribution and natural gas transmission, storage and processing assets located across North and South America, Australia, the Middle East and India.

Sharon was lead attorney for CMS in a landmark international arbitration case successfully brought under the rules of the International Centre for the Settlement of Investment Disputes against the Republic of Argentina. Sharon has also had comprehensive experience directing legal strategy for numerous complex disputes in both arbitration and litigation, including the successful conclusion of several political risk insurance cases before the London Court of International Arbitration.

Sharon has extensive transactional experience and during her career has led the legal efforts of more than 5 billion dollars worth of acquisitions and divestitures around the world. Sharon received her undergraduate degree as well her MBA and JD, cum laude, from the University of Nebraska.
